An ICANN Board resolution is not a contract.
The RIR was recognized based on the terms of a Memorandum of Understanding
(MoU) and supplemental process for developing additional RIRs.  In fact,
three of the RIRs pre-date ICANN.
I was also on the ARIN Board at that time, and I don't recall any contract.
