You and I have both been on the inside of ICANN and are familiar with the foibles of institutionalization...

Bylaw wording under the Directors section states: "Directors shall serve as individuals who have the duty to act in what they reasonably believe are the best interests of ICANN and not as representatives of the entity that selected them, their employers, or any other organizations or constituencies.”  
 
This language is very common in corporate bylaws and is intended to diminish lobbying by individual Directors.

Unfortunately, the “best interests of ICANN” creates a presumption in the minds of some that there is a distinction between corporate self-aggrandizement, and pursuit of the organizational mission.  There are days when one wonders about that, especially if the Board has just made a decision that you were on the losing end of.  Ethically, the underlying obligation to stay focused on mission is clear.   In the routine functioning of a large organization, it is sometimes easy to lose sight of that fact.  But I am not sure that a change of legal jurisdiction, per se, would cure bad behavior.
